Sun Pharmaceutical agreed to acquire US-based Organon in an all-cash deal at $14 a share, valuing it at an enterprise value of $11.75 billion. Sun plans to fund it with $2-2.5 billion of internal accruals and $9.25-9.75 billion of debt. The combined company would have revenue of about $12.4 billion, placing Sun among the world's top 25 drugmakers and making it the seventh-largest biosimilars player. Sun's shares rose 6.97% on the NSE to about Rs 1,733.50, their biggest one-day gain since July 30, 2021.
Why it matters for listed companies
The purchase roughly doubles Sun Pharma's revenue base and deepens its exposure to the US and biosimilars, but it is financed largely with $9.25-9.75 billion of new borrowing, so integration, synergy delivery and debt reduction become the main drivers of Sun's earnings and credit profile. For other listed Indian drugmakers it resets the benchmark for gaining global scale through acquisitions; the direct financial effect on them is small.
