The SEC released a proposal under Chairman Paul Atkins that would let companies file one semiannual report and one annual report each year instead of three quarterly 10-Qs and an annual report. Firms could still host quarterly earnings calls and issue guidance. Atkins fast-tracked the plan after President Trump called for an end to mandatory quarterly reporting. Nasdaq has backed the idea, while critics say it could let companies bury bad news and raise insider-trading risk.
Why it matters for listed companies
If adopted, the rule would cut compliance and audit work, mainly for small and mid-cap issuers, which a former SEC corporation finance chief quoted in the report sees as the first to opt in. Less frequent mandated disclosure would also change the information flow behind trading, research and data sales, which matters for exchanges, brokers and financial-data providers. The direct earnings effect on most companies is small.
