BT Group announced on 5 October a deal to buy TalkTalk Telecommunications and wholesale supplier PlatformX Communications out of administration after a sale process for the businesses failed. BT puts the total cash impact in its 2027 financial year at around £400m, including a £60m trading loss for the rest of this year and £100m otherwise due to Openreach that it does not receive. TalkTalk had revenue of £1.2bn over the last 12 months and was loss-making. The same day culture secretary Lisa Nandy issued a public interest intervention notice instructing the Competition and Markets Authority to investigate, with findings due by 19 October. BT said it kept its dividend growth policy.
Why it matters for listed companies
The deal folds one of the UK's large retail broadband brands into the owner of Openreach, the network most rivals rent. Listed competitors are exposed in different ways: Vodafone (through VodafoneThree) and Sky's owner compete for the same broadband customers, while alternative fibre builders sell wholesale access that TalkTalk and PlatformX also bought. For BT the effect is a one-off cash cost and integration risk against £1.2bn of added revenue. The outcome depends on the CMA's report and the minister's decision, and BT and TalkTalk operate separately in the meantime.
